MISSION STATEMENT

HOLLA at ya ANCESTORS mission is to elevate and promote social equality and respect for all ethic cultures; using genealogy education, research, identification, documentation, digitization, preservation of historic artifacts, buildings, materials by archiving family history, encouraging social interaction and civic support.

ARTICLES OF INCORPORATION

Article 1.    Name
The name of this organization shall be HOLLA at ya ANCESTORS, Inc.  The Corporation shall have as its second main purpose the establishment, development, and educate of at-risk, multi-ethnic family history research, publication and donation of the 150 by the 150th™ End of Slavery Anniversary Campaign, which shall supplement the nonprofit’s future, long-term care currently provided primarily in the cities of Decatur and Milledgeville, GA

Article 3.  Purpose
This nonprofit corporation shall have as its main purpose the preservation and protection of the State of Georgia, Online and National at-risk, multi-ethnic family histories, as well as, providing the tools, techniques and resources to produce work products worthy of acceptance to state & national repositories, archives, museums, universities and local libraries.
Article 4. Nonprofit Status
The Corporation shall be entirely NONPROFIT, with no view to profit.  No part of its net earnings shall inure to the benefit of any member, fiduciary, officer or agent of this Corporation, directly or indirectly, except that the Corporation shall be authorized and empowered to pay reasonable compensation for services rendered in furtherance of the charitable purposes of this Corporation.
Article 5.  Location and Agent
The street address of the registered office is 2956 River Run Trail, Decatur, GA 30034 in DeKalb County.  The registered agent at such address is Johnette Brooks.

Article 6.  Campaign, Investment Income, and Finance
Section 1. Investments of the Corporation shall be kept for the purpose of (a) paying the operating expenses of the HOLLA  at ya ANCESTORS™ Corporation and funding family tributes, books, special research projects and (b) developing/implementing/closure of  the 150 by the 150th  Slavery End Anniversary Campaign and HOLLA at ya ANCESTORS. Inc.  which shall supplement the educational, research and tribute project currently provided by the cities of Decatur and Milledgeville, Georgia.

Section 2. All monies collected from donations, memorial gifts, legacy, or any other source shall be added to the operating expenses/special projects account unless otherwise designated by the donor for the 150 by the 150th Campaign or HOLLA at ya ANCESTORS, Inc..  Monies going into the operating expenses/special projects account may be earmarked for a particular family and/or family project if the donor chooses.Section 3.  By a vote of the majority of those in attendance at the annual meeting, the Corporation may transfer, at any time, monies from the operating expenses/special projects account to the 150 by the 150th Campaign account if deemed desirable and appropriate.Section 4. The investment income from the 150 by the 150th Campaign account shall be used for the care of 150 by the 150th , if the majority of those members in attendance at the annual or a called meeting deems the care expenditure appropriate.  Care is broadly defined and includes, but is not limited to: beautification; improvements including but not limited to water lines, streets, or buildings; grave marker purchase or restoration; security; and additions to the 150 by the 150thmor HOLLA at ya ANCESTORS, Inc.  Any investment income accrued over and above the care of 150 by the 150th shall be reinvested in the Campaign.

Section 3.  While it is the intent that the principal within the 150 by the 150th  Campaign account be left intact as much as possible so that the Campaign will grow, a two-thirds majority of the members in attendance at the annual or called meeting may allocate part of the Campaign’s principal for care benefiting 150 by the 150th .

Article 7. Dissolution
Upon dissolution of the Corporation, (a) the assets of the 150 by the 150th  Campaign account will be distributed for one or more exempt purposes within the meaning  of the Internal Revenue Code, or the corresponding section of any future federal tax code, to the County of DeKalb, which is the current owner of 150 by the 150th , and (b) the operating expenses/special projects account will be distributed for one or more exempt purposes within the meaning of the Internal Revenue Code, or the corresponding section of any future federal tax code, of DeKalb Counties government, which has oversight ability over county history.
